Fulfillment of New York’s LLC publication requirement is a three-step process that takes at least 2 months to complete. The LLC publication notice alone must appear in local newspapers for 6 weeks.
Regarding our registered agent service, note that you have the option to continue this service for a fee of $45 per year. Our registered agent service is not required after the one (1) year free period.
What happens if you don’t publish your LLC?
If a New York limited liability company (LLC) fails to publish its legal notice within the prescribed 120 days, that LLC loses the right to maintain any action in New York courts. In other words, if you ever need to take legal action against anyone, your action can be dismissed for failure to meet the publication requirement. If any individual or business entity takes action against your organization, that individual or entity can personally name the members of the LLC. In effect, you defeat the key limited liability feature of an LLC by failing to publish.
How do you publish an LLC in a newspaper?
Within 120 days after you organize your LLC, you are required to publish a legal notice in two newspapers for six (6) consecutive weeks. Note that the newspapers must be designated by your County Clerk, and one newspaper must be printed daily and the other must be printed weekly. Your legal notice must contain information like the name of your LLC, the date it was organized, the county within which you have an office, the designation of the Secretary of State for the service of process, the forwarding address for the process, the name and address of your registered agent (if you have one), and the purpose for which you organized the LLC.
